1. Introduction

Welcome to PureBuay ("we," "us," "our," or "Company"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," "you," or "your") and PureBuay governing your access to and use of our website, services, products, and any related applications or platforms (collectively, the "Services").

By accessing, browsing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy, which is incorporated herein by reference. If you do not agree with any part of these Terms, you must immediately discontinue use of our Services.

Age Requirement: You must be at least 18 years of age to use this website and Services. By using our Services, you warrant and represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Definitions

For the purposes of these Terms:

• "Services" means all website development, design, maintenance, hosting, consulting, and related digital services provided by PureBuay.
• "Client Content" means any data, text, images, videos, or other materials provided by you for inclusion in your website or project.
• "Deliverables" means the final website, application, or digital product delivered to you upon project completion.
• "Maintenance Plan" means an optional ongoing support and maintenance service agreement between you and PureBuay.
• "Project Completion" means the date when the final deliverables are handed over to you and you have provided written acceptance.

3. Use License

Subject to your compliance with these Terms, PureBuay grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes only.

Under this license, you may not:

• Modify, copy, distribute, transmit, display, reproduce, or create derivative works from our website or proprietary materials without prior written consent;
• Use the Services for any commercial purpose beyond your authorized use or for any public display without permission;
• Attempt to decompile, reverse engineer, disassemble, or derive source code from any software or technology used in our Services;
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices from any materials;
• Transfer, sublicense, rent, lease, or lend any part of the Services to any third party;
• Use the Services to develop competing products or services;
• Mirror, frame, or scrape any content from our website or Services.

4. User Obligations

As a user of our Services, you agree to:

• Provide accurate, complete, and current information during registration and project briefing;
• Maintain the confidentiality of your account credentials and be responsible for all activities under your account;
• Notify us immediately of any unauthorized use of your account or any security breach;
• Provide timely feedback, approvals, and necessary content during project development;
• Ensure that all Client Content provided is legally owned by you or properly licensed;
• Comply with all applicable laws, regulations, and third-party agreements when using our Services;
• Make timely payments as per the agreed payment schedule;
• Not use our Services for any unlawful, harmful, or unauthorized purposes.

5. Intellectual Property Rights

Our Intellectual Property: All content, features, functionality, designs, logos, source code, frameworks, templates, and methodologies used in providing our Services remain the exclusive property of PureBuay and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Client Content: You retain all rights to the content you provide. By submitting Client Content, you grant PureBuay a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing Services to you.

Deliverables: Upon full payment and project completion, you receive ownership of the custom design and content specific to your project. However, PureBuay retains ownership of all underlying code, frameworks, templates, tools, and methodologies used to create your deliverables.

Portfolio Rights: You grant PureBuay the right to display your completed project in our portfolio, case studies, and marketing materials unless otherwise agreed in writing.

6. Service Delivery

Project Timeline: Project timelines are estimates based on the scope agreed upon at project initiation. Timelines may be extended due to delays in receiving Client Content, feedback, approvals, or unforeseen technical challenges. PureBuay will make reasonable efforts to meet agreed timelines but does not guarantee delivery by specific dates.

Revisions: A specified number of revision rounds will be included in your project package. Additional revisions beyond the agreed scope may incur additional charges.

Approval Process: You will be provided opportunities to review and approve work at various project milestones. Your written approval (via email or project management platform) will be required before proceeding to subsequent phases.

Final Acceptance: Project completion occurs when final deliverables are delivered and you provide written acceptance or when 14 days have passed without objection after delivery, whichever comes first.

8. Maintenance Plans (Optional)

To ensure your website remains secure, functional, and up-to-date, PureBuay offers optional Maintenance Plans. By subscribing to a Maintenance Plan, you receive ongoing professional support and care for your website.

Maintenance Plan Benefits:

• Regular security updates and patches;
• Software, plugin, and framework updates;
• Weekly or monthly automated backups with secure storage;
• Performance monitoring and optimization;
• Priority technical support with guaranteed response times;
• Content updates (limited hours per month based on plan tier);
• Uptime monitoring and issue alerts;
• Compatibility testing with new browsers and devices;
• Security scanning and malware removal;
• SEO and analytics monitoring (plan-dependent);
• Emergency support with expedited response;
• Discounted rates for additional development work.

Maintenance Plan Terms:

• Maintenance Plans are offered on a monthly or annual subscription basis;
• Plans can be customized based on your specific needs and website complexity;
• Services included vary by plan tier (Basic, Standard, Premium);
• Monthly hours or tasks are specified per plan and do not roll over;
• Either party may cancel with 30 days written notice;
• Upon cancellation, all maintenance responsibilities revert to the Client;
• Pricing is subject to annual review and may be adjusted with 60 days notice.

Activation: Maintenance Plans can be activated at any time during or after your project. We strongly recommend enrolling immediately upon project completion to ensure uninterrupted protection and support.

Third-Party Services: Maintenance Plans cover only work performed by PureBuay. Any costs associated with third-party services (hosting fees, domain renewals, SSL certificates, premium plugins, etc.) remain your responsibility and are billed separately.

9. Payment Terms & Subscriptions

Payment Schedule: Full Payment is Required Before development Start

Accepted Payment Methods: We accept payments via Paypal And popular credit/debit cards, payment methods as specified during the checkout process.

STRICT NO-REFUND POLICY: All payments made to PureBuay are FINAL and NON-REFUNDABLE under any circumstances, including but not limited to:

• Change of mind or business direction after payment;
• Lack of usage, discontinued use, or abandonment of the project;
• Business closure, financial hardship, or personal circumstances;
• Dissatisfaction with deliverables (provided they meet the agreed specifications);
• Technical issues or downtime caused by third-party services (hosting, domains, etc.);
• Delays in project completion caused by client-side factors;
• Changes in market conditions or competitive landscape;
• Force majeure events or circumstances beyond either party's control.

By proceeding with payment, you explicitly acknowledge and agree to this no-refund policy. It is your sole responsibility to thoroughly review the scope of work, deliverables, timelines, and all terms before authorizing any payment.

Subscriptions: Maintenance Plans and other subscription services are billed automatically on a recurring basis (monthly or annually). You authorize PureBuay to charge your payment method on file for the subscription amount on each billing cycle.

10. Cancellation & Termination

Client Cancellation: You may cancel a project at any time by providing written notice. However:

• All payments made are non-refundable as per our no-refund policy;
• You will be billed for all work completed up to the cancellation date at our standard hourly rates;
• Any deliverables completed at the time of cancellation may be provided at PureBuay's discretion;
• You remain liable for any outstanding payments due.

PureBuay Termination Rights: We reserve the right to suspend or terminate your access to Services immediately, without notice or refund, if:

• You breach any provision of these Terms;
• You fail to make payment when due;
• You engage in fraudulent, illegal, or abusive behavior;
• You misrepresent information or provide false credentials;
• Continuing the relationship would violate applicable law;
• We believe your use of Services poses a security or liability risk.

Effect of Termination: Upon termination, your right to use the Services ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, warranty disclaimers, indemnification obligations, and limitation of liability provisions.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PUREBUAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
• Warranties that the Services will be uninterrupted, timely, secure, or error-free;
• Warranties regarding the accuracy, reliability, or completeness of any content or information;
• Warranties that defects will be corrected or that the Services are free from viruses or harmful components;
• Any warranties arising from course of dealing or usage of trade.

PureBuay makes no representations or warranties about the suitability, reliability, availability, timeliness, or accuracy of the Services or content for any purpose. You acknowledge that your use of the Services is at your sole risk.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, PureBuay's liability will be limited to the greatest extent permitted by law.

12. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PUREBUAY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities;
• Loss of use, goodwill, or other intangible losses;
• Business interruption or work stoppage;
• Cost of substitute services or procurement;
• Damage to reputation or brand;
• Personal injury or property damage;
• Unauthorized access to or alteration of your data or communications;
• Statements or conduct of any third party on or through the Services;
• Security breaches, hacking, or malware infections;
• Errors, mistakes, or inaccuracies in content;
• Any other matter relating to the Services.

This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and whether or not PureBuay has been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not fully apply to you. In such cases, our liability will be limited to the greatest extent permitted by law.

13. Business Results & No Guarantee of Success

Nature of Services: PureBuay provides website development, design, and related digital services as technical tools for establishing an online presence. We create platforms and digital assets that enable you to present your business, products, or services online.

NO GUARANTEE OF BUSINESS RESULTS: We explicitly do NOT guarantee, warrant, or promise that:

• Your website will increase sales, revenue, or profits;
• You will acquire new customers, clients, or leads;
• Your business will experience growth or expansion;
• You will achieve any specific search engine rankings;
• Your website will achieve particular traffic levels or conversion rates;
• Your investment in a website will generate any specific return;
• You will achieve any marketing, business, or financial objectives.

Factors Beyond Our Control: Business success depends on numerous factors entirely outside PureBuay's control, including but not limited to:

• Your marketing strategy, budget, and execution;
• Quality and competitiveness of your products or services;
• Market demand and economic conditions;
• Industry competition and market saturation;
• Your customer service and business operations;
• Brand reputation and customer relationships;
• Pricing strategy and business model;
• Content quality and relevance;
• Ongoing website maintenance and updates;
• Digital marketing efforts (SEO, advertising, social media);
• Geographic, demographic, and timing factors.

Website as a Tool: A website is a digital tool and platform—not a business strategy in itself. Like having a physical storefront, simply having a website does not automatically generate business. Success requires ongoing effort in marketing, content creation, customer engagement, and business development.

No Liability for Business Outcomes: PureBuay shall not be held responsible or liable for:

• Lack of leads, inquiries, or customer interest;
• Low conversion rates or insufficient sales;
• Poor return on investment or failure to meet revenue targets;
• Loss of business opportunities or market share;
• Inability to compete effectively in your market;
• Any consequential business losses or damages.

Client Responsibility: You acknowledge that business success is your responsibility and depends on your own efforts, strategy, execution, and numerous external factors. PureBuay's role is limited to providing professional technical services as agreed in the project scope.

14. Third-Party Services & Integrations

Third-Party Dependencies: Our Services may integrate with or rely upon third-party services, platforms, tools, and technologies including but not limited to:

• Web hosting providers;
• Domain name registrars;
• Content delivery networks (CDNs);
• Payment gateways and processors;
• Email service providers;
• Analytics and tracking platforms;
• SEO and marketing tools;
• Social media platforms;
• APIs and software libraries;
• Security and SSL certificate providers;
• Backup and storage services.

Third-Party Terms: Your use of any third-party services is subject to the terms and conditions, privacy policies, and acceptable use policies of those third parties. You are solely responsible for reviewing and complying with such terms.

No Control Over Third Parties: PureBuay does not control, endorse, or assume responsibility for:

• The performance, reliability, availability, or security of third-party services;
• Changes to third-party pricing, features, or terms of service;
• Discontinuation or termination of third-party services;
• Data breaches, security incidents, or privacy violations by third parties;
• Downtime, outages, or technical issues with third-party platforms;
• Accuracy or reliability of third-party content or data;
• Compliance of third-party services with applicable laws.

Third-Party Costs: Fees charged by third-party service providers (hosting fees, domain registration, SSL certificates, premium plugins, API usage, etc.) are separate from PureBuay's fees and are your sole responsibility.

Changes to Third-Party Services: If a third-party service changes its terms, pricing, functionality, or discontinues service, PureBuay will make reasonable efforts to notify you but is not responsible for any resulting impacts to your website or business.

15. User Data & Privacy

Data Processing: PureBuay may collect, process, and store certain information and data as necessary to provide Services to you. Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Client Data Responsibility: You are solely responsible for:

• The accuracy, quality, legality, and integrity of all Client Content and data you provide;
• Obtaining all necessary permissions, licenses, and consents for content you submit;
• Ensuring your data practices comply with applicable privacy and data protection laws;
• Maintaining your own backups of all critical business data;
• Implementing appropriate security measures for sensitive information;
• Properly handling and securing any personal data collected through your website.

Data Security: While PureBuay implements industry-standard security practices, we cannot guarantee absolute security. You acknowledge that:

• No method of electronic transmission or storage is 100% secure;
• Unauthorized access, data breaches, or data loss may occur despite security measures;
• You use the Services at your own risk regarding data security;
• PureBuay is not liable for any data breaches, loss, or unauthorized access beyond standard security practices;
• You should maintain independent backups of all critical data.

Data Retention: PureBuay may retain your data as long as necessary to provide Services, comply with legal obligations, resolve disputes, and enforce agreements. Upon termination, we may delete your data in accordance with our data retention policies, unless legally required to retain it.

Regulatory Compliance: If your website collects personal data from users, YOU are responsible for compliance with all applicable data protection regulations (GDPR, CCPA, etc.), including implementing proper privacy policies, consent mechanisms, and data handling procedures.

16. Confidentiality

Confidential Information: "Confidential Information" means any non-public information disclosed by one party to the other, including business plans, technical data, customer information, pricing, strategies, and any information marked as confidential.

Obligations: Each party agrees to:

• Maintain the confidentiality of the other party's Confidential Information;
• Use such information only for the purposes of fulfilling obligations under these Terms;
• Not disclose Confidential Information to third parties without prior written consent;
• Protect Confidential Information with the same degree of care used for its own confidential information.

Exceptions: Confidential Information does not include information that:

• Is or becomes publicly available through no breach of these Terms;
• Was rightfully known prior to disclosure;
• Is independently developed without use of Confidential Information;
• Is rightfully obtained from a third party without confidentiality restrictions;
• Must be disclosed by law or court order (with notice to the disclosing party if permitted).

Duration: Confidentiality obligations survive termination of these Terms for a period of three (3) years, except for trade secrets which remain confidential indefinitely.

17. Prohibited Activities

You agree NOT to use our Services to:

• Violate any applicable laws, regulations, or third-party rights;
• Engage in fraudulent, deceptive, or misleading practices;
• Distribute malware, viruses, or any harmful code;
• Conduct hacking, phishing, or any unauthorized access attempts;
• Infringe on intellectual property rights of others;
• Transmit spam, unsolicited messages, or illegal content;
• Host, display, or distribute pornographic, obscene, or offensive content;
• Promote violence, hatred, discrimination, or illegal activities;
• Impersonate any person or entity or misrepresent affiliation;
• Interfere with or disrupt the Services or servers/networks;
• Attempt to circumvent security measures or access restrictions;
• Harvest or collect user data without proper consent;
• Use automated systems (bots, scrapers) without authorization;
• Resell or redistribute the Services without permission;
• Engage in any activity that could harm PureBuay's reputation or business.

18. Indemnification

You agree to indemnify, defend, and hold harmless PureBuay, its affiliates, officers, directors, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use or misuse of the Services;
• Your violation of these Terms;
• Your violation of any laws, regulations, or third-party rights;
• Any Client Content you provide or actions you take;
• Any claims that your content infringes or violates intellectual property or privacy rights;
• Your business operations, products, or services;
• Any negligence or willful misconduct on your part;
• Any third-party claims arising from your website or online presence.

PureBuay reserves the right to assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate fully in asserting any available defenses.

19. Modifications to Terms

PureBuay reserves the right to modify, amend, or update these Terms at any time at our sole discretion. When we make material changes, we will:

• Update the "Last Updated" date at the top of these Terms;
• Provide notice through our website, email, or other reasonable means;
• Give you an opportunity to review the updated Terms.

Acceptance of Changes: Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.

It is your responsibility to review these Terms periodically to stay informed of updates. Material changes will not apply retroactively to disputes arising before the effective date of the changes.

20. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Notwithstanding the above, PureBuay reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

21. Severability & Waiver

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

Waiver: No waiver by PureBuay of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement: These Terms, together with our Privacy Policy and any other written agreements between you and PureBuay, constitute the entire agreement between you and PureBuay regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without PureBuay's prior written consent. PureBuay may assign these Terms without restriction. Any attempted assignment in violation of this provision is void.
